1. About these terms

These terms are an agreement between you and [LAWYER: the legal entity’s full name, registered office address and CIN] (“Rysmic”, “we”, “us”). They cover rysmic.com, the gym app at app.rysmic.com, the member app at me.rysmic.com, Rysmic AI and the public gym pages at rysmic.com/g/<gym> (together, “Rysmic”).

By signing in to or using Rysmic you agree to these terms and to our privacy policy. If you use Rysmic for a gym, you agree on the gym’s behalf and confirm you may do so.

[LAWYER: whether gyms accept these terms by signing in, or need a separate order form or click-through.]

2. Who is who

  • “Gym” — a gym, studio or fitness business that uses Rysmic to run itself, and its owner.
  • “Team” — the people a gym adds to Rysmic: managers, front desk, trainers and others, each with a role the owner sets.
  • “Member” — a person who belongs to a gym on Rysmic and has a Rysmic account.

3. Your account

You sign in with a one-time code sent to your email or mobile, or with Google. Give us details that are true, keep your codes and devices to yourself, and tell us at founder@rysmic.com if you think someone else has signed in as you. You are responsible for what is done from your account.

One account is for one person. A team member’s access belongs to the gym: the owner can change their role or remove them at any time.

Members join by a gym’s invite. Your Rysmic account is yours, and you can hold memberships at more than one gym with it.

4. For gyms

Price. Rysmic is free while we launch. Before any charge begins we will tell the gym in writing at least [LAWYER: number] days ahead, with the price; the gym can then keep using Rysmic on the new terms or stop. Prices will be in rupees and exclude GST unless stated. [LAWYER: billing, invoicing, renewal and refund terms for when charges begin.]

Your gym’s data. The records a gym keeps in Rysmic — its members, plans, payments, attendance and the rest — belong to the gym. The gym lets Rysmic store and process them only to run Rysmic for the gym and as our privacy policy describes.

Your duties to your members. The gym decides why it keeps its members’ data and is responsible for having the right to keep it and to message its members — including their consent where the law (the DPDP Act, TRAI rules, WhatsApp’s policies) requires it. The gym keeps its records accurate and asks Rysmic to correct or erase them when a member is entitled to that. [LAWYER: data processing terms between the gym and Rysmic.]

Money. Rysmic records the payments a gym takes — cash, UPI, card — and issues its receipts and invoices. Rysmic is not a bank or a payment provider and does not hold the gym’s money: online payments go through the provider the gym connects, under that provider’s own terms, and settle into the gym’s own account. The gym is responsible for its prices, taxes, GST and refunds.

Your public page. The gym is responsible for what it publishes on its page at rysmic.com/g/<gym> — words, prices, photos and offers — and confirms it has the right to publish them.

5. For members

Your membership is between you and your gym. The gym sets its plans, prices, refunds, freezes, timings, classes and house rules, and decides on your requests. Rysmic provides the app; it is not a party to your membership and is not responsible for the gym’s services or premises.

Workout and diet plans, body metrics and progress in Rysmic are information, not medical advice. Check with a doctor before you start a new programme, especially if you have a health condition. You exercise at your own risk and under your gym’s supervision and rules.

You control what you share with each gym, and can download or delete your account at any time, as our privacy policy describes.

6. Rysmic AI

Rysmic AI answers questions from the gym’s own records and can propose actions such as reminders. Its answers can be wrong or incomplete: check anything important before you rely on it. Nothing it proposes happens until a person at the gym approves it, and the gym is responsible for what it approves.

7. Fair use

Do not use Rysmic to:

  • break the law, or keep or message people’s data without the right to;
  • send spam, or messages people did not agree to receive;
  • check in for someone else, or get around a gym’s rules for entry;
  • probe, scan or break Rysmic’s security, overload it, or get at data that is not yours;
  • copy, scrape, resell or reverse-engineer Rysmic, or build a competing product from it;
  • upload anything harmful, such as malware, or content you have no right to.

8. The service

Rysmic is a new product and is changing quickly. We may add, change or remove features, and Rysmic may sometimes be unavailable for maintenance or for reasons outside our control. We will try to give notice of changes that matter to you. During the launch period there is no service level commitment. [LAWYER: any availability commitment once charges begin.]

9. What belongs to whom

Rysmic — the software, its design and the Rysmic name and logo — belongs to us. These terms give you the right to use it while you have an account, nothing more. Your data stays yours (and your gym’s data, the gym’s).

If you send us ideas or feedback, we may use them without owing you anything.

10. Ending

You can stop using Rysmic at any time. A member can delete their account from the member app; a gym can ask us at founder@rysmic.com to close its account.

We may suspend or close an account that breaks these terms or the law, or that puts others at risk — with notice where we can give it.

When a gym’s account closes, the gym can export its data for [LAWYER: number] days; then we delete it, except records the law makes us keep. [LAWYER: export window and deletion.]

11. Warranties and liability

Rysmic is provided “as is” and “as available”. To the extent the law allows, we make no promise that it will be uninterrupted or error-free, or fit for a particular purpose.

To the extent the law allows, we are not liable for indirect or consequential loss — such as lost profit, revenue or data — and our total liability for any claim is limited to [LAWYER: the cap, for example the fees paid to Rysmic in the 12 months before the claim, or a fixed rupee amount while Rysmic is free].

The gym will compensate Rysmic for claims that arise from the gym’s data, its content, its messages to members or its breach of these terms. [LAWYER: indemnities, both ways.]

Nothing in these terms limits a liability that the law does not allow to be limited.

12. Law and disputes

These terms are governed by the laws of India. Write to us first — most problems are solved by talking. If a dispute cannot be settled that way, the courts at [LAWYER: city] have exclusive jurisdiction. [LAWYER: whether to use arbitration under the Arbitration and Conciliation Act, 1996, its seat and the consumer-law position for members.]

13. Changes to these terms

We may update these terms. When a change matters, we will tell you in the app or by email before it takes effect, and the date and version at the top of this page will change. If you keep using Rysmic after that, the new terms apply.

14. Contact

founder@rysmic.com. A person answers.
